At their general meeting held 30 May the shareholders of Energoremont Holding decided to increase the company’s capital from 349,340 leva to 3,842,740 leav through the issuance of 3,493,400 new shares with a face value of 1 lev each using own funds, BSE announced.

For this purpose 171,146.94 leva from the excess funds in the “General Reserves” fund above the legally required amount of 1/10 from the capital and 3,322,253.06 leva from the “Other Reserves” fund will be used.

The new shares will be distributed between the shareholders proportionately to their interest in the company’s capital. Each shareholder will receive 10 new shares for each old share in the company’s capital.

Shareholders also decided to allocate 1,995,294.57 leva from the company’s profit of 2,135,000 leva for 2006 to the “Other Reserves” fund, and to use 139,736.00 to pay dividend of 0.40 leva/share.

The last date for for transacting shares of the company on the BSE-Sofia, as a result of which the holder will be entitled to dividend and to participate in the capital increase, is 11 June 2007.

The main shareholders of the company are Milenia 77 Ltd. with 33.46% from the capital, Conventional Energy Systems AD – 32.39%, and Bulgarian Energetics – 31.73%.

The company’s shares lost 2.28% yesterday to an average of 493.1 lev with 5 shares traded. The holding’s market capitalization exceeds 172 mln leva.
