Eurohold Bulgaria's 20.47 leva per share tender offer to Formoplast shareholders was granted the approval by the Financial Supervision Commission (FSC).

The company controls directly or via related parties a total of 197,754 shares, or 88.49% of capital.

Shareholders in Formoplast Kardjali will vote a proposal for capital increase from the current 223,465 leva (114,255 euros) to 3 798 905 leva (1.942 mln euros) via the issuing of 3 575 440 new, registered, non-privileged, paperless voting shares.

The proposal will be discussed at the upcoming GM scheduled 10 October 2007, according to BSE data.

If approved, shareholders shall receive 16 new shares for free to each 1 share they hold.

The final date for transacting the shares as a result of which the holder will be entitled to vote at the forthcoming GM is 24 September 2007.

The company posted a negative financial result in the amount of 111,000 leva (56,753 euros) versus 219,000 leva (111,972 euros) for the same period last year. Formoplast's core capital stands at 223,465 leva (114,255 euros) and its own capital is at 6.295 mln leva (3.218 mln euros).

There was only one transaction involving Formoplast shares on the BSE today, it was at 38.50 leva.
