Eurohold Bulgaria made another tender offer to the rest of the shareholders in Formoplast Kardjali which is 0.88 leva per share higher than previous bid, BSE reports.

Eurohold controls (directly or via related parties) a total of 197,754 shares, or 88.49% of the company's capital. The current tender offer is at 20.47 leva/share.

The holding does not intend to delsit Formoplast from the public register. The Financial Supervision Commission has not reacted yet.

Formoplast posted a loss in the amount of 111,000 leva (56,753 mln euros) in H1, compared to 219,000 leva (111,972 euros) a year ago. The company has a core capital in the amount of 223,465 leva (114,255 euros) and own capital at 6.295 mln leva (3.218 mln euros).

At their forthcoming general meeting, the company's shareholders will vote a proposal for capital increase from 223,465 mln leva (114,255 euros) to 3 mln leva (1.533 mln euros) via the issuance of 3 575 440 common, non-privileged, paperless, voting shares.

If the proposal is approved, each shareholder shall receive 16 new shares for free, to each share they hold.

The final date for trade with the company's stock as aresult of which the holder will be entitled to voting right at the forthcoming GM is 24 September 2007.

79 shares changed hands on the position today at prices between 38 and 40 leva.
